Agreement
These terms govern use of the Helm platform. The contracting service provider is the provider identified in the applicable checkout, order form, invoice, or written subscription agreement. By creating a workspace, purchasing a subscription, or using Helm, the customer agrees to these terms on behalf of its business.
Platform role
Helm provides software for transportation quoting, booking, dispatch, communications, fleet configuration, affiliate coordination, and related operations. Helm is not the transportation carrier and does not employ or control an operator's drivers. Each operator is solely responsible for transportation services, licensing, insurance, safety, pricing legality, drivers, vehicles, and passenger obligations.
Accounts and authorized use
Customers must provide accurate information, protect account credentials, assign appropriate roles, and promptly disable access that is no longer authorized. The platform may not be used for unlawful activity, unauthorized surveillance, abusive messaging, credential sharing, security testing without written authorization, or interference with another tenant.
Fees, renewal, and cancellation
Fees, setup charges, included features, renewal periods, and usage terms are shown at checkout or in the order form. Subscriptions renew until canceled. Unless the order form states otherwise, cancellation prevents future renewal but does not refund setup work, prior service periods, usage, or third-party charges already incurred.
Customer data
The customer retains its rights in customer data and grants the provider permission to process that data to deliver, secure, support, and improve Helm. The customer represents that it has provided required notices and obtained required permissions for passenger, driver, employee, affiliate, location, messaging, and integration data.
Availability and changes
Helm is operated with commercially reasonable care, but uninterrupted availability is not guaranteed. Maintenance, provider outages, mapping limitations, carrier delivery, internet conditions, and external integrations may affect service. Material changes that reduce purchased core functionality will be communicated when commercially reasonable.
Confidentiality
Each party must protect non-public business, technical, pricing, security, and customer information using reasonable care and use it only for the business relationship. Confidentiality does not apply to information lawfully public, independently developed, or rightfully obtained without restriction.
Suspension and termination
Access may be suspended for security risk, illegal use, nonpayment, material breach, harm to another tenant, or conduct that threatens platform integrity. The customer may request an export before termination when the account is in good standing and the request is technically and legally feasible.
Disclaimers and liability
Except for express written commitments, Helm is provided as available and without implied warranties to the maximum extent allowed by law. The provider is not liable for transportation incidents, operator decisions, lost profits, indirect damages, or third-party service failures. Any aggregate liability is limited to fees paid for Helm during the twelve months before the event giving rise to the claim, except where a limitation is prohibited by law.
