Agreement
These terms govern use of the Helm platform. The contracting service provider is the provider identified in the applicable checkout, order form, invoice, or written subscription agreement. By creating a workspace, purchasing a subscription, or using Helm, the customer agrees to these terms on behalf of its business.
Platform role
Helm provides software for transportation quoting, booking, dispatch, communications, fleet configuration, affiliate coordination, and related operations. Helm is not the transportation carrier and does not employ or control an operator's drivers. Each operator is solely responsible for transportation services, licensing, insurance, safety, pricing legality, drivers, vehicles, and passenger obligations.
Helm Select requests
Helm Select lets a passenger request options from verified transportation operators. Submitting a request is not a reservation, does not dispatch a vehicle, and does not charge a payment method. Before selection, matched operators receive generalized trip information without customer identity, contact details, private notes, flight number, or street-level addresses. After selection, the selected operator receives the complete itinerary so it can confirm availability. Customer contact details remain hidden until successful payment.
When the selected operator confirms availability, the customer may complete secure checkout for the displayed price. A reservation is confirmed only after Helm records successful payment and displays a paid confirmation. The selected operator is the transportation provider and merchant for the ride. Helm provides the marketplace, checkout orchestration, records, and support tools; Helm is not the carrier.
Helm Select pricing and settlement
Displayed customer prices are calculated from the operator amount plus a disclosed Helm network service fee. The operator amount shown to an affiliate is before payment-processor fees and any operator taxes or obligations. The payment processor deducts its fees and pays the remaining funds to the selected operator's connected payment account under that provider's payout schedule. Helm does not guarantee payout timing and does not hold funds as an escrow service.
Unless an option expressly says otherwise, the displayed checkout price covers only the trip scope shown at checkout. The selected operator remains responsible for lawful pricing, licensing, insurance, drivers, vehicles, service performance, and disclosure of any permitted tolls, waiting time, extra stops, cleaning, gratuity, tax, or other post-booking charges.
Cancellations, refunds, and disputes
A customer may cancel a Helm Select request before payment without a Helm Select charge. After payment, cancellation and refund eligibility depend on the selected operator's disclosed policy, the booked trip, and applicable law. Refunds may be issued by the operator or by Helm when authorized to administer the transaction. Processor timing may delay when a refund appears.
Customers should raise service or billing concerns through Helm Support and the selected operator before initiating a payment dispute when practical. Operators must respond promptly to refund and dispute requests and provide accurate service records. Helm may restrict marketplace access while a payment dispute, fraud review, safety concern, or unresolved service complaint is investigated.
Accounts and authorized use
Customers must provide accurate information, protect account credentials, assign appropriate roles, and promptly disable access that is no longer authorized. The platform may not be used for unlawful activity, unauthorized surveillance, abusive messaging, credential sharing, security testing without written authorization, or interference with another tenant.
Platform fees, renewal, and cancellation
Subscription fees, setup charges, included features, renewal periods, and usage terms are shown at checkout or in the order form. Subscriptions renew until canceled. Unless the order form states otherwise, cancellation prevents future renewal but does not refund setup work, prior service periods, usage, or third-party charges already incurred. Helm does not charge a commission on an operator's direct bookings. A clearly disclosed network fee applies to Helm-generated Helm Select rides.
Customer data
The customer retains its rights in customer data and grants the provider permission to process that data to deliver, secure, support, and improve Helm. The customer represents that it has provided required notices and obtained required permissions for passenger, driver, employee, affiliate, location, messaging, and integration data.
Availability and changes
Helm is operated with commercially reasonable care, but uninterrupted availability is not guaranteed. Maintenance, provider outages, mapping limitations, carrier delivery, internet conditions, and external integrations may affect service. Material changes that reduce purchased core functionality will be communicated when commercially reasonable.
Confidentiality
Each party must protect non-public business, technical, pricing, security, and customer information using reasonable care and use it only for the business relationship. Confidentiality does not apply to information lawfully public, independently developed, or rightfully obtained without restriction.
Suspension and termination
Access may be suspended for security risk, illegal use, nonpayment, material breach, harm to another tenant, or conduct that threatens platform integrity. The customer may request an export before termination when the account is in good standing and the request is technically and legally feasible.
Disclaimers and liability
Except for express written commitments, Helm is provided as available and without implied warranties to the maximum extent allowed by law. The provider is not liable for transportation incidents, operator decisions, lost profits, indirect damages, or third-party service failures. Any aggregate liability is limited to fees paid for Helm during the twelve months before the event giving rise to the claim, except where a limitation is prohibited by law.
